The Organisation
The charity’s governing documents are the Memorandum and Articles of Association adopted on incorporation on 10 March 1997. The Board of Management, comprising the Chairman, two Vice Chairmen, Hon Treasurer, and directors as set out on page 1 governs it. Other members are invited to attend Board meetings to act in advisory capacity.
Board members give their time to the charity on a purely voluntary basis. Whilst the success of the charity is dependent on the efforts of its members and volunteers, it is important that its work is supported by a well trained and professional staff. The Chief Executive is responsible to the Board for managing the staff of the charity to implement its strategy.
Most of the activities are carried out by the charity, with the exception of those which are conducted its two wholly owned subsidiary companies. Suffolk ACRE Services Limited operates the Suffolk ACRE Voluntary Insurance scheme, and delivers the Suffolk Childcare Initiative. Suffolk ACRE Technology Ltd provides hardware and Information and Communications Technology services in connection with the delivery of the Suffolk Online project.
Method of appointment of directors
Directors are nominated by the membership in accordance with the Terms of Reference for Membership and are elected at the Annual General Meeting in accordance with article 26 of the company's Articles of Association.
Election to the Board under article 30 of the company's Articles of Association is for a term of three years.
